1. Acceptance of Terms
These Terms of Service ('Terms') constitute a binding legal agreement between you ('User') and Memnarch Ltd, a Delaware corporation ('Provider', 'we', 'us'). By accessing or using the STRAX.FM platform, you agree to be bound by these Terms.
2. Service Description
STRAX.FM is a podcast hosting and transcription platform. The Service includes:
- Podcast hosting with public show pages
- Automated transcription and speaker diarization
- Chapter generation and show notes
- RSS feed distribution
- Semantic search across episode content
- Embeddable audio player
3. Eligibility & Corporate Use
You represent and warrant that you are at least 18 years of age. If you are using the Service on behalf of a legal entity (e.g., a media company or organization), you represent that you are authorized to enter into this agreement on behalf of that entity.
4. Account Security
You are responsible for maintaining the confidentiality of your credentials. Memnarch Ltd shall not be liable for any loss or damage arising from your failure to protect your account information.
5. Acceptable Use Policy
You agree to use the Service in compliance with all applicable laws. You are strictly prohibited from:
- Uploading content that violates third-party intellectual property rights
- Distributing content you do not have the rights to publish
- Reverse engineering or attempting to exploit the platform's API
- Using the Service for unlawful purposes
6. Intellectual Property Rights
User Content: You retain full ownership of all audio, transcripts, and podcast content you process through the Service. Provider Rights: Memnarch Ltd retains all rights, title, and interest in the STRAX.FM platform, including its code, algorithms, and interface.
7. Data Processing & GDPR
We process data in accordance with our Privacy Policy. For EU customers, Memnarch Ltd acts as a Data Processor under GDPR, and you act as the Data Controller.
8. Billing and Cancellation
Subscriptions are billed in advance on a monthly or annual basis. You may cancel at any time; access will continue until the end of the current billing cycle. No refunds are provided for partial months. See our Refund Policy for details.
9. Limitation of Liability
The Service is provided 'AS IS' and 'AS AVAILABLE'. To the maximum extent permitted by law, Memnarch Ltd expressly disclaims all warranties. In no event shall Memnarch Ltd's liability exceed the total amount paid by you in the twelve (12) months preceding the claim.
10. Termination
We reserve the right to suspend or terminate your access for violations of these Terms. You may terminate this agreement by deleting your account.
11. Modifications
We reserve the right to modify these Terms. Material changes will be communicated via email or platform notification at least 30 days prior to taking effect.
12. Governing Law
Notwithstanding the Delaware incorporation of the Provider, these Terms shall be governed by the laws of Iceland. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the District Court of Reykjavík.
